What are the branch registration requirements in South Africa?
To open a branch office in South Africa, a foreign company would usually need to register with CIPC, the Companies and Intellectual Property Commission, as an external company.
We suggest that prior to commencing activities, check to find out whether the foreign company’s activities lead to the requirement to register. This step is crucial in practice as the South African Companies Act mandates foreign companies that operate in the Republic to register with CIPC.
Normally, registration is completed within 20 business days of commencement of business activity in South Africa. Application forms are submitted using the CIPC e-Services platform.
Under section 23(2A) of the Companies Act, a foreign company is not regarded as conducting business in South Africa (and need not register) solely because it performs the following activities:
- shareholder or board meetings, or otherwise the internal affairs of the company;
- opening or maintaining a bank account or other financial account;
- opening or maintaining an office or agency for the transfer, exchange or registration of the parent company’s securities;
- making or obtaining debts, mortgages or security interests in property;
- acquiring intellectual property interests;
- acquiring any interest in property or collecting debts within South Africa (by contrast, being a party to an employment contract in South Africa does trigger registration).
It is also important to know that special rules exist if a foreign company prepares to offer securities to the South African public.
Our local lawyers can assist you to determine whether your business is to be registered as an external company, to prepare proper documents and to carry you through the CIPC registration.
